Terms of Service

1. Acceptance of these terms

By creating an account or using Logic (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. You confirm that you are at least 18 years old and legally able to enter into this agreement, either for yourself or on behalf of the business you represent.

2. What Logic provides

Logic is a software platform that lets merchants accept stablecoin and card payments, generate invoices and QR codes, manage refunds, and view reporting. Logic is not a bank, money transmitter, custodian, broker, or financial advisor. All on-chain transactions settle directly between the customer's wallet and the merchant's wallet. Logic does not take custody of customer or merchant funds at any point.

3. Your account

You are responsible for keeping your login credentials, wallet keys, API keys, and webhook secrets confidential. Any activity that occurs under your account is your responsibility. Notify us immediately if you believe your account has been compromised. We may suspend or terminate accounts that violate these terms, applicable law, or our compliance policies.

4. Fees

Logic charges a platform fee on each successful payment processed through the Service. The current fee is disclosed on our website and inside the merchant dashboard at the time of transaction. Network fees (gas), card processor fees, and any third-party fees are separate and are passed through to the appropriate party. You authorize Logic to deduct its platform fee directly from each transaction at the time of settlement.

5. Acceptable use

You agree not to use Logic for any unlawful activity, including but not limited to:

• Money laundering, terrorist financing, or sanctions evasion.
• Fraudulent or deceptive sales, including chargeback abuse.
• Sale of illegal goods or services in your jurisdiction.
• Circumventing the technical, security, or compliance controls of the Service.
• Reverse engineering, scraping, or attacking the platform.

You are solely responsible for the legality of your business, the goods or services you sell, and your compliance with tax, consumer-protection, AML, KYC, and licensing requirements in every jurisdiction where you operate.

6. Blockchain and stablecoin risk

You understand that blockchain transactions are final and irreversible once confirmed. Logic cannot reverse, freeze, or recover funds sent to the wrong address, sent on the wrong network, or sent from a compromised wallet. Stablecoin issuers (such as USDC, USDT, and DAI) are independent third parties; their value, redemption, and availability are outside our control. Network outages, congestion, forks, and reorganizations may delay or affect transactions.

7. Refunds and disputes

Refunds for crypto payments are initiated by you, the merchant, from your own wallet using the refund tools we provide. Card refunds are processed through the underlying card processor and are subject to that processor's timelines. Logic does not adjudicate disputes between merchants and their customers; you are responsible for your refund, cancellation, and customer-service policies.

8. No warranty

The Service is provided "as is" and "as available" without warranty of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.

9. Limitation of liability

To the maximum extent permitted by law, Logic, its operators, employees, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or funds, arising out of or related to your use of the Service. Our aggregate liability for any claim arising out of or related to these terms is limited to the greater of one hundred US dollars (USD 100) or the platform fees you paid to Logic in the three (3) months immediately before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold Logic harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these terms, your violation of any law, or your violation of any third-party right.

11. Termination

You may stop using the Service at any time and delete your workspace from the dashboard. We may suspend or terminate your access at any time for any reason, including suspected fraud, legal risk, or violation of these terms. Provisions that by their nature should survive termination (fees owed, limitation of liability, indemnification, governing law) will survive.

12. Changes to these terms

We may update these terms from time to time. When we do, we will update the "Last updated" date above and, where appropriate, notify you in the dashboard or by email. Your continued use of the Service after a change means you accept the updated terms.
